A memorandum of association usually includes the following elements:

What is the minimum number of shareholders in a memorandum of understanding?

The minimum number of shareholders to form a company under a memorandum of understanding depends on the status of the entity to be formed:

  • For a private company: 2 shareholders minimum
  • For a public company: 7 shareholders minimum.

The signing of the MOA should always be undertaken under the presence of witnesses.
